TokenLife board terms
These General Terms and Conditions (the “General Terms”) apply to the relationship between Forus Taxi OÜ (Forus) and the User in relation to the use of the TokenLife board (the “Board”) on the Forus mobile app and to the relationship between Users to the extent set out in these General Terms. The use of the Mobile App, Forus platform and the Board is made possible by Forus Taxi OÜ, registration code 12600455, address Rotermanni 8, Tallinn 10111, Republic of Estonia.
By using the Board on the Forus Mobile App, the User acknowledges that he/she is aware of these General Terms and Conditions and their contents, and confirms that he/she is aware of and consents to the processing of personal data provided by him/her when using the Board on the Forus Mobile App in the manner set out in the General Terms and Conditions, including sharing them with the administrator(s) of other applications and services on the Forus Platform, as well as with other Users to the extent set out in the General Terms and Conditions.
1. Definitions
1.1. Forus – Forus Taxi OÜ as the operator of the Forus Platform, which provides an information society service to Users by enabling them to, among other things, conclude contracts for ridesharing services, taxi services and parcel services and other services, as well as use TokenLife board via the Forus mobile application.
1.2. The App or the Forus app is a mobile application through which Forus, by providing an information society service, enables Users to enter into contracts between themselves for the services available in the App and, among other things, to use the TokenLife board.
1.3. TokenLife board or Board or bulletin board – A Board (bulletin board) operated by Forus through which Users can express their interest in buying and selling US Tokens by means of Listings.
1.4. US Token or Token – An electronic right to acquire a share of US Token OÜ (registration nr 16511565) on or after 27.11.2027. For more information on the Token Programme (Programme), click here:
1.5. User or Token Holder – A natural person of legal age and capacity or a legal entity who is registered as a Token Holder. A Token Holder is a person who has expressed a wish to collect Tokens in the Forus App and who has accepted the Token Terms and Conditions in the registrar’s environment koos.io.
1.6. User Account – An account of a natural person or legal entity, which is necessary for providing and/or ordering services through the Forus App and, inter alia, for using the TokenLife board.
1.7. Sales List – The list on the bulletin board consisting of Listings reflecting a wish to sell.
1.8. Purchase List – The list on the bulletin board consisting of the Listings reflecting a wish to purchase.
1.9. Listing – A Listing entered by the User, as set out in Section 3 of these General Terms.
1.10. Transaction – a Transfer Transaction entered into between Users outside the TokenLife board whereby one User undertakes to alienate and transfer Tokens to another User and the other User undertakes to pay for those Tokens in the manner and to the extent agreed.
1.11. Registrar – Programmable Equity OÜ (16320994, hereinafter referred to as “koos.io”), a provider of a web-based software platform, which registers Programme Participants to the extent necessary for the implementation of the Programme.
2. TokenLife board
2.1. Forus will provide to Users a Board in the form of a bulletin board on which Users can enter Listings, reflecting their interest in the purchase and sales of US Tokens. The bulletin board is provided free of charge.
2.2. Purchase and sales Listings entered by Users are directed to other Users.
2.3. Forus does not collect any fees or other monetary payments from or on account of any Listings entered.
2.4. The definitive values, including price and quantities, of the Transactions will depend to a large extent on the communication, agreement and execution between the Users.
2.5. Forus is not an agent, representative, commission agent, etc. of the Users and does not interfere in any Transactions between the Users. All the Transactions shall take place outside the Board.
2.6. TokenLife board may only be used in accordance with the General Terms and Conditions. If the User does not agree to the General Terms and Conditions, he/she shall not be allowed to use the TokenLife board.
3. Listing
3.1. In order to be able to post Listings, a User must have a minimum of 1 US Token.
3.2. To add a Listing, the User clicks on “My Listings” in the Purchase or Sales list on the Board and then on the “Add a Listing” button.
3.3. By selecting “buy” or “sell”, the User can enter Purchase or Sales Listings.
3.4. In order to add a Listing, it is necessary to enter the quantity of Tokens to be bought or sold and the initial estimated price for them.
3.5. Purchase Listings can also be entered without specifying the amount of Tokens, by simply entering the initial expected value of the Tokens and clicking on the “any amount” button.
3.6. By posting a Listing, the User confirms that,
3.6.1. The information presented in the Listings is true and valid and corresponds to the actual intent of the User who entered the Listing.
3.6.2. The Listing has not been entered for malicious purposes, including. money laundering.
3.7. Users are obligated to keep the information contained in the Listings up to date.In the event of the expiry of the interest to buy or sell, the expiry of the information or the entry of incorrect data, the User is obligated to delete the Listing, update it or edit it.
3.8. Users confirm, that they may be contacted by other Users for contact details in relation to US Tokens.
3.9. Forus has the right to delete the Listing itself, if it is found that the User has posted Listings on the bulletin board for purposes that are contrary to the nature of the bulletin board and these General Terms and Conditions, as well as good commons.
3.10. If a User is interested in a Listing, he/she may click on the Listing in the Purchase or Sales list. The User will then be able to request contact details..
3.11. By adding Listings, the Users consent to being contacted by other Users for contact details.
3.12. A User may at the simultaneously enter one purchase Listing and one sales Listing.
3.13. Users acknowledge that the estimated values and quantities of Tokens set out in the Listings are provisional. The final terms, including the price and quantity, of the Transaction, are subject to what has been agreed between the Users outside the Board.
4. Conclusion of Transactions
4.1. Transactions are concluded and formalised by Users outside the Board.
4.2. Users enter into Transactions without the intervention or interference of Forus. Forus shall not be a representative or an agent of the Users in any manner or form. Nor shall Forus be a party to any of the Transactions under any circumstances.
4.3. Users are fully liable for the organisation and execution of the Transactions. The Users also confirm that they are aware of and responsible for the timely recording and management of any taxes and other financial and reporting obligations that may arise from the Transactions.
5. Liability
5.1. When using the Board, the Users are liable for:
5.1.1. The appropriate following of the instructions given in these General Terms and Conditions for using the Board;
5.1.2. the integrity and accuracy of the information provided by him/her while adding a Listing to the TokenLife board and/or including the information provided by him/her when registering in koos.io.
5.1.3. maintaining the confidentiality of the information required by him/her.
5.2. Forus has the right to temporarily restrict or permanently suspend the User’s access to the TokenLife board if Forus has reasonable grounds to suspect that the User has used or is using the TokenLife Board for purposes that are contrary to the nature of the bulletin board, these General Terms and Conditions and good practices.
5.3. Users must comply with legal requirements and regulations in the field of anti-money laundering when using the TokenLife board.
5.4. Forus shall not be liable for the conclusion or non-conclusion of the Transactions and their performance, i.e. the payment of money and/or the transfer of Tokens.
5.5. Forus shall not be liable for any fraud or wrongdoing committed by Users that may occur in the course of any Transactions concluded between the Users.
5.6. The Board enabled by Forus is provided on an “as is” and “as available” basis, Forus makes no representations or warranties of any kind regarding the quality, technical defects, interruptions, compatibility or suitability of the Board.
5.7. Forus shall be liable in the event of a culpable breach resulting from a willful breach of these General Terms by Forus. Forus shall only be liable for direct pecuniary loss and shall not be liable for loss of profit or non-pecuniary loss.
5.8. Forus shall not be liable for any loss of information, passwords, User Account or other data.
5.9. Nothing in these Terms and Conditions shall relieve the Forus or the User from any liability under these General Terms and Conditions to the extent that it is contrary to applicable law.
6. Customer Support and complaints
6.1. Although Forus does not participate in the Board, does not post Listings, and is not the User’s representative, agent, commission agent, etc., Forus will endeavour to assist Users with any complaints regarding the use of the bulletin board.
6.2. Customer support is provided through the App or by email ([email protected]).
6.3. In the event of a complaint, the User must immediately contact Forus in the manner set out above, but no later than within 48 hours.
6.4. In order to resolve complaints, Forus may oblige the User to share relevant information.
7. Processing of personal data
7.1. Forus collects and processes the personal data necessary to enable the Board in accordance with applicable data protection legislation, including the general terms and conditions set out in the privacy policy of Forus Taxi OÜ, available here: (Forus.eu/en/et/terms-and-privacy/).
7.2. Users are under an obligation to maintain the secrecy and confidentiality of any personal data and confidential information, including phone numbers, disclosed to them as a result of their use of the TokenLife board, including but not limited to the possible identity of other Users, unless the right and obligation to disclose such information arises from law.
8. Final provisions
8.1. Forus may make unilateral changes to the General Terms and Conditions insofar as such changes are due to legitimate reasons (changes in the legal order, reasonable commercial interests or changes in the service and its provision).
8.2. Changes to the General Terms will be posted on Forus’s website and App. Changes to the General Terms and Conditions will be notified 15 calendar days in advance.
8.3. Forus may change the terms and conditions without notice if:
8.3.1. Forus is subject to a legal or regulatory obligation that requires Forus to modify the General Terms in a manner that does not allow Forus to comply with the 15-day notice period;
8.3.2. Forus must deal with unforeseen and imminent threats to protect the Application and/or Users from fraud, malware, spam, data breaches or other cyber security risks or liabilities.
8.4. Forus may at any time discontinue making the TokenLife board available on its Platform by notifying Users.
8.5. Disputes between Forus and the User shall be resolved by negotiation. If this is not possible, the dispute shall be settled in Harju County Court on the basis of the legislation of the Republic of Estonia.
